1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you, the business entity or authorized representative accessing this website ("you" or "Member"), and Bisk ("we," "us," or "our"). By accessing or using joinbisk.com (the "Site") or any services offered through it, you agree to be bound by these Terms.

For purposes of these Terms, "Bisk" refers to the company operating this Site and the services described herein, the legal name of which is set forth in the Contact Information section below.

If you are accessing the Site on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

We reserve the right to modify these Terms at any time. Your continued use of the Site or Services after any such changes constitutes acceptance of the revised Terms.

2. Definitions

As used in these Terms, the following definitions apply:

• "Services" refers to all group purchasing, vendor negotiation, preferred pricing programs, member communications, and related offerings provided by Bisk.
• "Member" refers to any business entity or authorized representative that accesses the Site or participates in Bisk's programs.
• "Vendor Partners" refers to third-party suppliers, pharmacies, distributors, or service providers whose programs are made available to Members through Bisk's GPO network.
• "Site" refers to joinbisk.com and all associated digital properties operated by Bisk.
• "GPO" refers to Group Purchasing Organization, the model through which Bisk aggregates Member purchasing power to negotiate preferred terms with Vendor Partners.

3. Description of Services

Bisk operates as a Group Purchasing Organization ("GPO") that aggregates the purchasing power of its Members to negotiate preferred pricing, terms, and access to Vendor Partners on their behalf. Members include, but are not limited to, medical clinics, independent physician practices, med spas, wellness centers, and telemedicine and telehealth providers. Services may include:

• Access to pharmacy and healthcare vendor programs, negotiated discounts, and preferred pricing through Bisk's GPO network, including but not limited to compounded medications, pharmaceutical supplies, and related healthcare products and services
• Facilitation of relationships between Members and Vendor Partners, including licensed compounding pharmacies, pharmaceutical distributors, and healthcare product suppliers
• Member communications, portal access, and account management tools
• Program announcements, vendor introductions, and GPO updates
• Other services as may be introduced from time to time

The specific scope of services available to each Member may depend on membership tier, separately executed agreements, or other conditions communicated by Bisk.

IMPORTANT: Bisk is not a pharmacy and does not dispense, manufacture, or distribute medications. Bisk does not provide medical advice, diagnoses, or prescriptions, and is not a licensed healthcare provider. All clinical decisions, prescribing activity, and patient care remain solely the responsibility of the licensed healthcare professional. Bisk's role is strictly limited to negotiating and facilitating access to vendor programs on behalf of its Members.

5. Eligibility and Account Registration

The Site and Services are intended solely for use by business entities and their authorized representatives. Use by individual consumers for personal, family, or household purposes is not permitted. By using the Site, you represent that you are at least 18 years of age and are acting in a professional or commercial capacity.

Where account registration or inquiry forms are provided, you agree to provide accurate, current, and complete information and to notify Bisk promptly of any changes. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.

6. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, and software, is the property of Bisk or its licensors and is protected by applicable intellectual property laws. "Bisk" and associated logos are trademarks of the operating entity. You may not use our trademarks without prior written consent.

We grant you a limited, non-exclusive, non-transferable license to access and use the Site for its intended purpose. You may not reproduce, distribute, modify, or create derivative works from any Site content without our prior written consent.

7. Prohibited Activities

When using the Site or Services, you agree not to:

• Use the Site or Services for any unlawful purpose or in violation of any applicable federal, state, or local law or regulation
• Submit false, misleading, or fraudulent information through any form or inquiry
• Infringe on the intellectual property rights of Bisk or any third party
• Transmit any viruses, malware, or other harmful or malicious code
• Attempt to gain unauthorized access to any systems or networks associated with the Site
• Interfere with or disrupt the operation of the Site or Services
• Engage in any fraudulent activity in connection with the Site or any Vendor Partner program
• Sell, transfer, or assign your account or membership benefits without Bisk's prior written consent
• Use automated systems to access or scrape the Site without our written permission

8. Third-Party Vendor Partners and Links

Bisk facilitates connections to Vendor Partners as part of its GPO services. Bisk does not warrant or guarantee the products, services, pricing, or conduct of any Vendor Partner. Any transactions or relationships you enter into with Vendor Partners are solely between you and the vendor. Bisk shall not be liable for any loss or damage arising from such transactions.

The Site may contain links to third-party websites. These links are provided for convenience only, and Bisk does not endorse or assume responsibility for the content or practices of any linked site.

9. Disclaimer of Warranties

THE SITE AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. BISK DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. BISK DOES NOT WARRANT THAT ANY PRICING, SAVINGS, OR OUTCOMES RESULTING FROM GPO PARTICIPATION WILL MEET YOUR EXPECTATIONS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BISK, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.

11. Indemnification

You agree to indemnify, defend, and hold harmless Bisk and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or Services; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of any rights of a third party.

12. Termination

Bisk reserves the right to suspend or terminate your access to the Site or Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Site and Services will immediately cease.

You may terminate your participation in Bisk's programs at any time by contacting us. Termination does not relieve you of any obligations incurred prior to the effective date of termination.

13. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site or Services shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Ohio. Each party shall bear its own costs unless the arbitrator determines otherwise.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or confidential information.

14. Force Majeure

Bisk shall not be liable for any failure or delay in performance of its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, supply chain disruptions, or government actions. In such events, Bisk's obligations will be suspended for the duration of the force majeure condition.

15. Modifications to the Site and Terms

Bisk reserves the right to modify or discontinue the Site or any portion of it at any time without notice. We may also update these Terms from time to time. The updated Terms will be posted on the Site with a revised effective date. Your continued use of the Site after any such changes constitutes your acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

17. Waiver

No waiver by Bisk of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition. Bisk's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

18. Assignment

You may not assign or transfer these Terms or any of your rights and obligations hereunder without Bisk's prior written consent. Bisk may freely assign or transfer these Terms, including in connection with a merger, acquisition, or sale of assets, without restriction. Any purported assignment in violation of this section shall be null and void.

19. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published on the Site, constitute the entire agreement between you and Bisk with respect to your use of the Site and Services, and supersede all prior or contemporaneous understandings, communications, or agreements, whether written or oral, relating to the subject matter hereof.
